Terms of Service

These Terms of Service ("Terms") govern your access to and use of surrogacynetwork.org (the "Site"), operated by A. VAN DER VEEN dba Surrogacy Network ("SurrogacyNetwork", "we", "us", or "our"). By accessing or using the Site, creating an account, submitting content, claiming a listing, sending a message, or purchasing any paid service, you agree to these Terms and our Privacy Policy and Cookie Policy.

If you do not agree to these Terms, you may not use the Site.

1. What the Site is, and is not

SurrogacyNetwork is an informational directory of US surrogacy agencies and professionals. The Site may include agency and professional listings, user-submitted reviews, community feedback, messaging tools, sponsored placements, badges, widgets, and other related features.

We are not a surrogacy agency, matching service, law firm, medical provider, fertility clinic, or other professional service provider. We do not provide medical, legal, financial, psychological, or other professional advice.

The Site is intended to help users research and connect with surrogacy agencies and professionals. We are not a party to, and have no responsibility for, any relationship, agreement, transaction, treatment, representation, or other interaction between users and any agency or professional.

Information on the Site is provided for informational purposes only. Users are responsible for independently evaluating agencies and professionals and verifying information before making decisions or entering into any relationship or agreement.

We do not endorse, guarantee, recommend, or warrant any particular agency, professional, rating, review, or service merely because it appears on the Site.

2. Third-party and user-provided information

Some information on the Site is provided by agencies, professionals, reviewers, users, or third-party sources. Although we may review, moderate, or verify certain information, we do not guarantee that information on the Site is accurate, complete, current, or suitable for any particular purpose.

Listings, agency claims, reviews, ratings, credentials, descriptions, policies, fees, services, and other information may change without notice.

We may display reviews or other information originally submitted to or published on third-party platforms, including Google, Facebook, or other services. Such third-party content may not be included in SurrogacyNetwork's own ratings or review calculations. We do not control the original platform and are not responsible for the accuracy or continued availability of third-party content.

3. No medical or legal advice

Information on the Site is not a substitute for professional medical or legal advice.

Surrogacy laws and regulations vary by state and may change over time. Users should consult an appropriately qualified attorney regarding their individual circumstances before entering into any surrogacy-related agreement.

Users should also consult qualified medical professionals regarding medical questions, fertility treatment, pregnancy, assisted reproductive technology, or any other health-related matter.

Nothing on the Site creates a doctor-patient, attorney-client, or other professional relationship between you and SurrogacyNetwork.

4. Accounts and eligibility

You must be at least 18 years old to create an account or use account-based features of the Site.

You must provide accurate, current, and complete information and keep that information updated. You must register under your own real name; accounts registered under business names, pseudonyms, or keyword names may be refused or removed. You may not create an account for another person without their authorization.

You may register using an email address and password or through an available third-party sign-in service such as Google or Facebook. Regardless of how you register, these Terms apply to your use of the Site.

Each person may hold only one account. You may not create additional accounts, including to circumvent Site rules, moderation, limits, suspensions, or other restrictions.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You must notify us promptly if you believe your account has been accessed or used without authorization.

We may refuse registration, require additional verification, suspend an account, or terminate access where we reasonably believe an account contains inaccurate information, misrepresents a person's identity or affiliation, violates these Terms, or is being used in a manner that could harm the Site or other users.

Professional and agency registration is currently available only to professionals and agencies based in the United States.

Professional users represent that they are genuinely affiliated with the agency or organization they represent and have authority to provide and manage information on its behalf.

5. Profile photos

Where a profile photo is required or displayed, it must be a genuine and reasonably recent photograph of the person represented by the account.

Profile photos may not consist of logos, stock photographs, AI-generated people, cartoons, screenshots, or photographs of another person.

We may remove a profile photo that does not comply with these requirements and may require the user to provide a replacement.

Reviewer profile photos may appear alongside published reviews and may be displayed elsewhere on the Site as described in these Terms.

6. Agency and professional listings

Agency and professional listings may be created using information obtained from public sources, submitted by agencies or professionals, or provided by users.

An agency or professional may claim an existing listing. We may require verification of the claimant's identity and affiliation before approving a claim. In certain circumstances, responding to an invitation sent to an established agency email address may be sufficient to complete a claim.

Managers of claimed listings are responsible for the accuracy of information they add or maintain.

We may edit, moderate, update, combine, supplement, decline, or remove listing information at our discretion. We may also identify an agency as closed or no longer operating where we reasonably believe that to be the case.

Submitting an agency or professional for inclusion in the directory does not guarantee that the listing will be created or remain on the Site.

7. Reviews and user content

Reviews must reflect the reviewer's genuine first-hand experience. We may limit review submission to certain account types and to one review per person per agency.

You may not submit:

  • fake, fabricated, or misleading reviews
  • reviews written or purchased on behalf of another person
  • reviews of your own agency or organization
  • reviews submitted on behalf of a competitor
  • reviews intended to manipulate ratings or rankings
  • content containing threats, harassment, discrimination, or abuse
  • personal information or confidential information about another person without appropriate authorization
  • unlawful, defamatory, fraudulent, or infringing content
  • content that you do not have the right to publish

Reviews may be moderated before publication and may be declined, edited for formatting or policy compliance, temporarily withheld, or removed.

We may request information or documentation to help verify that a review represents a genuine experience. Verification materials are not publicly displayed and are handled according to our Privacy Policy.

You may edit a published review where the Site provides that functionality. An edited review may be subject to moderation again.

Publication and distribution of reviews

When you submit a review for publication, you understand that the published review may appear publicly on the Site together with information associated with your reviewer profile, including your name, reviewer type, and profile photo where applicable.

Published reviews may also appear in other areas of the Site, including review feeds, agency pages, the homepage, shareable pages or images, and other promotional or informational materials relating to the Site. We may also share selected published reviews through our social media channels.

You retain ownership of your review and other content you create. By submitting content to the Site, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, adapt, excerpt, distribute, and otherwise use that content as reasonably necessary to operate, promote, improve, and provide the Site and its features.

You may request removal of your own content, subject to our legal obligations and legitimate operational, moderation, security, or record-keeping needs.

8. Messaging and visitor profiles

Messaging features are provided to facilitate genuine inquiries between users and agencies or professionals.

To send a message to an agency or professional, you may be required to complete a visitor or user profile. Information from that profile may be attached to your message and made available to the recipient.

You may not use messaging to send spam, bulk messages, unsolicited advertising, solicitations, harassment, or messages unrelated to the legitimate purpose of the Site.

We may impose reasonable limits on the number or frequency of messages that can be sent.

Recipients may report messages or conversations to us. A reported conversation may be made available to our administrators for review and moderation.

Messages, drafts, and other communications may be retained or automatically deleted according to our operational retention practices and Privacy Policy.

9. Electronic communications

By using the Site, you consent to receive communications that are necessary to provide and operate the Services, including account notifications, security messages, verification messages, responses to inquiries, billing communications, and other service-related communications.

Where the Site offers optional marketing or promotional communications, you may opt out using the unsubscribe mechanism included in the communication or through available account settings.

Opting out of marketing communications does not prevent us from sending communications that are necessary to operate your account or provide services you have requested.

If we offer SMS communications, any marketing or optional SMS program will be subject to the applicable consent and opt-out requirements presented at the time of enrollment. Message and data rates may apply. Where applicable, you may withdraw optional SMS consent using the instructions provided with the messages.

10. Paid plans, trials, and sponsored placements

Premium listing features are billed as a recurring subscription through Stripe, either monthly or annually, at the price shown at checkout.

Where offered, a free trial may be available to eligible new listing managers. Unless otherwise stated at checkout, the trial does not automatically create a paid subscription. At the end of a trial, premium features may stop displaying unless a paid subscription is started.

Paid subscriptions renew automatically until cancelled. Cancellation takes effect at the end of the current billing period unless otherwise stated at checkout.

Subscription fees are non-refundable except where required by applicable law.

We may change subscription prices with reasonable advance notice. Price changes generally apply beginning with the next applicable renewal period.

Premium listing features affect the information and functionality available on the participating listing. Payment does not purchase, improve, alter, or guarantee a review, rating, ranking, verification status, or moderation decision.

Agencies and professionals may separately purchase sponsored placements. Sponsored placements will be identified as "Sponsored" or with another clear disclosure.

Sponsored placement does not constitute an endorsement or guarantee by SurrogacyNetwork.

11. Badges, widgets, and Site materials

We may provide badges, widgets, links, graphics, or other materials that agencies and professionals may use to link to their SurrogacyNetwork listing or reviews.

Such materials may only be used in the form provided by us and may not be modified in a way that falsely suggests a different rating, review count, membership status, verification status, award, or other affiliation.

We may modify or discontinue badges, widgets, or other Site materials at any time.

12. Acceptable use

You may use the Site only for lawful purposes and in accordance with these Terms.

You must not:

  • scrape, crawl, harvest, download, copy, reproduce, or systematically collect Site data or user information
  • use automated tools, bots, spiders, scripts, or similar technology to extract information from the Site
  • collect, store, sell, or distribute personal information about other users without appropriate authorization
  • use information obtained from the Site to contact, solicit, target, or market to users outside the legitimate purpose for which that information was provided
  • use the Site or its data to build or populate another directory, database, matching service, or competing product
  • use the Site to compete with SurrogacyNetwork
  • create false identities, affiliations, or accounts
  • circumvent registration requirements, moderation, rate limits, access controls, or other Site restrictions
  • attempt to access another user's account or private information
  • probe, scan, test, or interfere with the security of the Site
  • introduce malware, viruses, harmful code, or other disruptive technology
  • interfere with the operation or availability of the Site
  • reverse engineer or attempt to discover the source code or underlying technology of the Site, except where such restriction is prohibited by applicable law
  • copy, reproduce, modify, distribute, sell, or commercially exploit Site content without our written permission
  • use the Site for unlawful, fraudulent, abusive, defamatory, threatening, or otherwise prohibited purposes

We may take legal action or seek other remedies where a violation of these restrictions causes or threatens harm to SurrogacyNetwork, our users, or the Site.

13. Intellectual property

The Site and its underlying materials, including its design, branding, logos, text, graphics, software, functionality, organization, selection and arrangement of information, database structure, and compilation of listings and reviews, are owned by or licensed to SurrogacyNetwork and are protected by applicable intellectual property laws.

Your use of the Site does not give you ownership of any Site materials.

You may access and use publicly available Site content for your personal, non-commercial research and evaluation purposes, subject to these Terms.

You may not reproduce, republish, sell, license, distribute, commercially exploit, or create a competing database from Site content without our prior written permission.

Nothing in these Terms transfers ownership of your own content to us.

14. Third-party websites and services

The Site may contain links to third-party websites, services, advertisements, payment processors, social networks, or other resources.

Third-party websites and services are not controlled by us. A link or reference does not constitute an endorsement, recommendation, or guarantee.

We are not responsible for the availability, accuracy, legality, privacy practices, security, products, services, or content of third-party websites or services.

Your use of third-party websites and services is subject to their own terms and privacy policies.

15. Site availability and technical issues

We make reasonable efforts to maintain the Site, but we do not guarantee that the Site will always be available, uninterrupted, secure, timely, or error-free.

The Site may occasionally be unavailable because of maintenance, updates, technical failures, third-party services, security incidents, internet or telecommunications problems, or circumstances outside our reasonable control.

We are not responsible for losses resulting from an interruption, delay, technical failure, or inability to access the Site, except where liability cannot legally be excluded.

16. Disclaimers

THE SITE, ITS CONTENT, AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, CURRENT, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

WE DO NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, PROFESSIONAL QUALIFICATIONS, CONDUCT, FINANCIAL CONDITION, SERVICES, OR PERFORMANCE OF ANY AGENCY, PROFESSIONAL, REVIEWER, USER, OR OTHER THIRD PARTY APPEARING ON OR CONNECTED THROUGH THE SITE.

WE DO NOT CONTROL OR GUARANTEE ANY RELATIONSHIP, COMMUNICATION, AGREEMENT, TRANSACTION, OR OTHER INTERACTION BETWEEN USERS AND AGENCIES OR PROFESSIONALS.

YOU ARE SOLELY RESPONSIBLE FOR YOUR DECISIONS AND FOR VERIFYING INFORMATION BEFORE ENTERING INTO ANY RELATIONSHIP, AGREEMENT, OR TRANSACTION.

YOU USE THE SITE AT YOUR OWN RISK.

Nothing in these Terms excludes or limits any liability or right that cannot legally be excluded or limited under applicable law.

17. Limitation of liability

To the maximum extent permitted by applicable law, SurrogacyNetwork and its owners, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to your use of, or inability to use, the Site.

We are also not responsible for claims, losses, damages, or disputes arising from the conduct, representations, services, agreements, or interactions of other users, agencies, professionals, or third parties.

To the maximum extent permitted by law, our total aggregate liability for claims arising out of or relating to the Site or these Terms will not exceed the greater of $100 or the amount you paid to us during the twelve months preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

18. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SurrogacyNetwork and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. your violation of these Terms;
  2. your violation of applicable law;
  3. your content or information submitted to the Site;
  4. your misuse of the Site; or
  5. your interaction, relationship, agreement, or transaction with another user, agency, professional, or third party.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense, where permitted by law.

19. Notice and takedown

If you believe that content appearing on the Site infringes your intellectual property rights, violates your privacy rights, is defamatory, or is otherwise unlawful, you may contact us with a detailed notice identifying:

  • the content or listing at issue;
  • where it appears on the Site;
  • the basis for your complaint;
  • your contact information; and
  • any information reasonably necessary for us to evaluate the complaint.

We may review the complaint and, where appropriate, remove, restrict, or modify the content. We do not guarantee that every complaint will result in removal.

Nothing in this section limits any rights or remedies available under applicable law.

20. Suspension and termination

You may stop using the Site or delete your account at any time, subject to any outstanding payment obligations.

We may suspend or terminate your account or restrict your access to all or part of the Site if we reasonably believe that you have violated these Terms, provided false or misleading information, abused the Site, created a risk to other users or the Site, or engaged in unlawful or harmful activity.

We may also discontinue or materially change any Site feature or the Site itself.

Where permitted by law, we are not responsible for losses resulting from suspension, termination, or discontinuation.

Following termination, provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, user content licenses, acceptable use, disclaimers, limitations of liability, indemnification, and dispute resolution.

21. Force majeure

We are not responsible for delay or failure to perform our obligations where the delay or failure results from circumstances outside our reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, power failures, cyberattacks, failures of third-party providers, or other events beyond our reasonable control.

22. Changes to these Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the Site, by email, or by another reasonable method. The updated Terms will state their effective date.

Your continued use of the Site after the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

23. Governing law and disputes

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or your use of the Site will be resolved by the competent courts in the Netherlands, unless applicable law requires otherwise.

Nothing in this section prevents either party from seeking emergency or injunctive relief where permitted by law.

24. General

These Terms, together with our Privacy Policy and Cookie Policy, constitute the agreement between you and SurrogacyNetwork regarding your use of the Site.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

Headings are provided for convenience and do not affect interpretation.
